A good deal of international investors would probably agree that establishing corporate presence is not the most difficult part. Instead, protecting your business against illegal raiding attempts and other attacks from the local “system” can be far more challenging.

It is not uncommon that foreign investors face trouble caused by local partners and fuelled by governmental institutions. Be it through harassing insolvency proceedings, excessive provisional measures, a refusal to issue a licence or register something. We specialise in protecting the business from just that having accumulated first hand experience in these issues for years.

Register of Enterprises and the State Revenue Service

We have a lot of experience successfully challenging various administrative acts rendered by the Latvian authorities, especially the Register of Enterprises and the State Revenue Service.

We have represented business entities in dealings with the Latvian Road Administration and the Public Utilities Commission, and we have recently undertaken work to challenge the legality of decisions taken by the Latvian Financial Services Authority.

When it comes to dealings with the Register of Enterprises at times when shareholders are in a dispute and opposing groups seek registration of their resolutions with the Register of Enterprises, such as changes in the Management Board or Supervisory Board, our experience would probably be unmatched.

Constitutional Law & Human Rights in business matters

It is not unusual that we face a piece of legislature that we feel is unconstitutional and we are grateful to our foreign clients who have supported our endeavours to weed out such inconsistencies in various business and commercial matters.

We have devised and submitted a number of constitutional complaints to the Constitutional Court. Some have already been upheld. Others are pending. We are both proud and delighted that our success in the Constitutional Court has considerably improved the Latvian civil procedure in the area of provisional measures making it more civilised and western. We are hopeful that the other pending constitutional complaints will likewise improve the climate for foreign investment.

White-Collar Criminal Law

Criminal law is the most powerful tool to intimidate an opponent in Latvia. It is not unusual that a criminal investigation is underway in no time at all, based on the wildest allegations imaginable. It has been widely used against our clients in the past. It is a method usually exploited by the locals who do not share the principles honoured in Western Europe.

The purpose of the process is usually to intimidate through bad publicity, interrogations, searches and seizures. We ensure that our clients are not caught by surprise and are fully prepared to counteract such attacks and bring the responsible to justice. For example, in December 2011 unwarranted insolvency proceedings were brought against AS KALIJA PARKS, a leading company in the potash transhipment business in the Baltics. The sought insolvency was not only rejected by court, but its seekers have also found themselves under criminal investigation for filing an intentionally false insolvency petition. Most international investors would have also heard of the so-called Palink case where a multi-million European backed business was attempted to be sent to insolvency.
